Seller Policy

This page explains the rules for selling through Baddie, including partner stores, seller storefronts, and declutter-style selling.

Seller categories, approval, and verification

We may approve, refuse, limit, suspend, or revoke seller access at any time.

Baddie may classify selling activity into categories such as Baddie Partners for approved commercial sellers, brands, or partner merchants, and Declutter Selling for individual, community, customer, or closet-style resale activity. We may also classify seller accounts as Verified Sellers or Unverified Sellers depending on identity review, business records, bank verification, authenticity review, compliance checks, trust history, account behavior, or other criteria we choose to apply.

We may require any seller, before or after activation, to complete identity verification, business registration verification, bank-account verification, tax or compliance review, address or inventory verification, product authenticity review, category-specific approval, enhanced due diligence, or any other reasonable risk, legal, or operational review.

Seller responsibilities and prohibited conduct

Each seller must provide complete, accurate, and current business, bank, contact, listing, pricing, and inventory information; list only goods it has the legal right and practical ability to sell and fulfill; ensure products are lawful, authentic, safe, merchantable where legally required, and fit for sale; comply with tax, consumer-protection, advertising, product-safety, IP, import, labeling, and other legal obligations; honor accepted orders unless cancellation is expressly permitted; maintain truthful shipping, fulfillment, return, and support information; keep adequate records to prove source, ownership, authenticity, and dispatch history; and cooperate promptly with support, legal, risk, moderation, or compliance requests.

Sellers must not list counterfeit, stolen, unsafe, recalled, prohibited, or infringing goods; submit misleading titles, descriptions, images, prices, stock levels, delivery promises, or origin details; manipulate reviews, rankings, order history, referral systems, or engagement; redirect transactions off-platform to evade fees, records, moderation, or enforcement; upload fake tracking, fake dispatch, fake receipts, fake authenticity records, or fake proof of delivery; misuse customer data; pressure users into off-platform communication or payment; evade restrictions through replacement accounts, proxies, or affiliated accounts; or engage in abusive, coercive, deceptive, discriminatory, retaliatory, or unlawful conduct.

Orders, payouts, audits, and enforcement

Sellers must cooperate fully in order verification, customer support, returns handling, inspection requests, dispute reviews, authenticity reviews, and refund workflows. If Baddie issues a refund, customer remediation payment, chargeback adjustment, coupon recovery, penalty, or other offset connected to a seller transaction, we may deduct the amount from current or future seller balances, reverse prior credits, hold reserves, net losses against other amounts owed, require direct reimbursement, or suspend payouts until exposure is resolved.

Seller payouts are always conditional and subject to reconciliation, reserve requirements, fraud screening, return exposure, chargeback exposure, penalties, banking issues, compliance review, operational errors, and legal obligations. We may delay, split, batch, or schedule payouts, withhold, freeze, or reverse payouts, create rolling or fixed reserves, set off liabilities against seller balances, require additional identity or bank verification before release, and recover amounts by deduction, reimbursement demand, legal process, or any other lawful means.

We may require sellers to produce invoices, sourcing records, authenticity evidence, dispatch evidence, customer communications, regulatory approvals, tax records, or other documents relevant to platform risk, disputes, or legal compliance. Failure to provide satisfactory evidence may result in listing removal, payout holds, or suspension.

We may approve or reject seller applications, impose category restrictions or selling limits, place a seller under review, restrict messaging or visibility, remove listings or entire storefronts, cancel pending orders, issue customer remediation, freeze balances or payouts, and suspend or terminate seller access where we consider it necessary for fraud prevention, consumer protection, trust and safety, IP protection, platform integrity, regulatory compliance, reputational protection, or operational risk management.

Liability and indemnity

Each seller is solely responsible for its own taxes, filings, regulatory approvals, product compliance, import rules, customs obligations, labeling obligations, recall obligations, and legal warranties except to the extent non-waivable law requires otherwise.

To the fullest extent permitted by law, sellers must indemnify, defend, and hold harmless Marvengrey Technologies Nigeria LTD and related parties against claims, losses, liabilities, recalls, fines, penalties, judgments, settlements, costs, and expenses arising from seller products or services, listings, promotions, omissions, defects, safety issues, authenticity issues, recalls, injuries, tax or regulatory failures, IP complaints, misuse of customer data, fraud, misconduct, or customer claims attributable to seller conduct or seller products.
